Welcome to CAUSE Marketing Agency Inc. (“CAUSE,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our website, services, subscriptions, platforms, and software, including AI PRO, where applicable.

By purchasing, accessing, or using our Services, you agree to these Terms. If you do not agree, please do not use our Services.

1. Our Services

CAUSE provides fractional marketing, strategy, content creation, automation, CRM setup, consulting, and related professional services (“Services”). Services may be delivered by one or more subcontracted professionals (“MarketingPROs”).

Services are provided on a subscription and scope-based basis, not as full-time or exclusive staff unless expressly agreed in writing.

2. Plans, Subscriptions & Billing

  • Services are billed on a monthly subscription basis, paid in advance.
  • Subscriptions automatically renew each month unless cancelled in accordance with these Terms.
  • Fees vary based on the selected plan, hours, and services.
  • Applicable taxes are additional.

Non-Payment

If payment fails or is not received:

  • Services may be paused immediately.
  • Accounts overdue by more than 30 days may be sent to collections.

3. Changes to Your Subscription

Increasing Your Plan

You may increase plan hours up to one (1) business day before your next billing date. Changes take effect on the next billing cycle.

Decreasing Your Plan

  • Requires seven (7) business days’ notice before your next billing date.
  • Plans may not be reduced by more than 50% at one time.
  • Plans may not be reduced below 20 hours per month.

Unused hours do not roll over unless expressly agreed in writing.

4. Overage Hours & Additional Costs

Work beyond your included plan hours must be approved in advance.
You are responsible for managing and prioritizing your allocated hours.

5. Confidentiality

Both parties agree to keep confidential any non-public, proprietary, or sensitive information shared during the course of Services.

  • Confidential information may only be used to fulfill this agreement.
  • All confidential information remains the property of the disclosing party.
  • Confidentiality obligations survive termination of Services.

6. Client Responsibilities

To ensure successful service delivery, you agree to:

  • Appoint a primary point of contact
  • Provide timely approvals, feedback, and materials
  • Provide required access to systems and accounts
  • Communicate respectfully and professionally

CAUSE is not responsible for delays caused by lack of approvals, information, or access.

7. Cancellation & Termination

Client Cancellation (30-Day Written Notice)

You may cancel your Services at any time with thirty (30) days’ written notice. All outstanding fees must be paid through the end of the notice period.

  • Plan reductions are not permitted during the final billing period.
  • Failure to provide adequate notice may result in a cancellation fee equal to one month of service.

Our Right to Terminate

CAUSE reserves the right to suspend or terminate Services at any time for reasons including—but not limited to—non-payment, breach of these Terms, misuse of platforms, or abusive or inappropriate behavior.

Upon termination, client-owned files will be returned upon request, subject to Section 9 (AI PRO).

8. Staffing & Assignments

Services may be delivered by multiple MarketingPROs. While we aim for continuity, we do not guarantee a single dedicated individual.

CAUSE may reassign work due to availability, illness, or operational needs and will notify you when appropriate.

9. AI PRO Software (CRM, Automation & Messaging Platform)

9.1 What AI PRO Is

Some service packages include access to AI PRO, CAUSE’s branded CRM and marketing automation platform powered by third-party technology.

AI PRO may include:

  • CRM and contact management
  • Email, SMS, and MMS messaging
  • Pipelines and opportunities
  • Funnels, forms, calendars, and automations
  • Reporting and analytics

Use of AI PRO is subject to these Terms and applicable third-party platform rules.

9.2 AI PRO Subscription & MarketingPRO Services

Unless otherwise agreed in writing:

  • Your AI PRO subscription is tied to your MarketingPRO services.
  • If your MarketingPRO services end, your AI PRO access will also end at the conclusion of your paid billing period.
  • Continued access to AI PRO after service termination requires a separate written agreement and may involve additional fees.

9.3 Data Ownership & Access

  • You own your business data stored in AI PRO, including contacts, conversations, pipelines, calendars, and content you upload.
  • You grant CAUSE permission to access and process this data solely for the purpose of providing Services, support, and system administration.
  • CAUSE does not sell your CRM data.

9.4 Data Retention, Export & Termination

When AI PRO access ends:

  • You may lose access to all CRM data and features.
  • Data may be retained for a limited period before deletion.
  • You are responsible for exporting any data you wish to keep before access ends.

CAUSE is not responsible for data loss after termination or cancellation.

9.5 SMS & MMS Messaging (Important)

If you use SMS or MMS messaging through AI PRO, you agree to the following:

  • You are solely responsible for obtaining proper opt-in consent from recipients.
  • You must comply with all applicable laws, including:
    • Canadian Anti-Spam Legislation (CASL)
    • TCPA (if messaging U.S. numbers)
    • Carrier and aggregator rules (A2P 10DLC)
  • You must maintain a public Privacy Policy and Messaging Disclosure that clearly explains:
    • How users opt in
    • How users opt out (e.g., replying STOP)
    • That message and data rates may apply
    • That mobile information will not be shared or sold for marketing purposes

CAUSE is not responsible for fines, penalties, blocked numbers, suspended messaging, or compliance violations related to your messaging activities.

10. Non-Solicitation

You agree not to hire, contract with, or engage any MarketingPRO introduced through CAUSE during your service term or for 12 months after Services end, unless CAUSE brokers the engagement.

  • Brokered engagement fee: 12× your highest monthly invoice
  • Unbrokered engagement fee: 12× your highest monthly invoice, payable immediately

11. No Guarantees

CAUSE does not guarantee specific results, including revenue, growth, engagement, or marketing performance. Outcomes depend on factors outside our control.

12. Independent Contractor Relationship

All MarketingPROs are independent contractors. Nothing in these Terms creates an employment, partnership, or joint venture relationship.

13. Limitation of Liability

To the fullest extent permitted by law:

  • CAUSE is not liable for indirect, incidental, or consequential damages.
  • Total liability is limited to fees paid in the three (3) months preceding the claim.

14. Governing Law

These Terms are governed by the laws of the Province of British Columbia, Canada.
